GlaxoSmithKline Consumer extends board meeting

THE Board of Directors of GlaxoSmithKline Consumer yesterday, notified the General Public and the Nigerian Exchange Limited, that the meeting of the company earlier scheduled to hold on Wednesday 16th March 2022, has now been rescheduled to hold on Wednesday 23rd March 2022.

According to the notice sent to the Exchange and signed by the company Secretary Mr Frederick Ichekwai, the agenda to be discussed at the meeting still remains the same.

Given the above, the Closed Period which commenced on 1st January 2022 as earlier announced, remains in force until 24hrs after 2021 audited financial statement is released to the Market.

It would be recalled that GlaxoSmithKline Consumer Nigeria Plc (“GSK or the Company”) on 3rd March 2022 notified Nigerian Exchange Limited (NGX) and the shareholders of the Company that the Meeting of Board of Directors of the Company is scheduled to hold on Wednesday, 16th March 2022, to consider the full year Audited Financial Statements for the Year ended 31st December 2021, and issues around dividend.

The result is expected to be released to the Market on or before the 30th March 2022.

Consequently, during the closed period, Directors of the Company and other relevant “insiders, Staff, Complimentary Staff and Management who have regular access to GSK financial information or results that might be material and/or price sensitive, should observe this earnings-related closed period and not buy or sell GSK shares.

This is in line with the rules of NGX. The rules are also spelt out in the company’s Procedure for Dealing in Securities –GSK Corporate SOP_606739 (6.0).
